Terms of Service

Welcome to Chivendi, a digital marketplace platform owned and operated by Gentility Tech Global Ltd, registered in Nigeria ("the Company," "we," "us," or "our"). By accessing or using Chivendi, you agree to be bound by these Terms of Service. Please read them carefully.
1Definitions
- Platform: The Chivendi website, mobile application, and all related services accessible at chivendi.com.
- Vendor: A registered seller, artisan, service provider, farmer, creator, or business offering products or services on the Platform.
- Buyer: A registered user who browses, books, or purchases products or services from Vendors.
- User: Any registered individual or entity using the Platform, including Vendors, Buyers, and Agents.
- Listing: Any product, service, or offering posted by a Vendor on the Platform.
- VendScore: A reputation metric assigned to Vendors based on verification, performance, and user ratings.
- Escrow: A secure payment holding mechanism where funds are held by the Platform until job completion is confirmed.
2Eligibility
To use Chivendi, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction.
- Have the legal capacity to enter into binding contracts under Nigerian law.
- Provide accurate, current, and complete registration information.
- Not have been previously suspended or removed from the Platform.
- Comply with all applicable Nigerian laws, including but not limited to the Federal Competition and Consumer Protection Act (FCCPA) and the Nigeria Data Protection Regulation (NDPR).
3Account Registration & Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
- Provide truthful information during registration, including your National Identification Number (NIN) when required for verification.
- Notify us immediately at info@chivendi.com of any unauthorized access to your account.
- Not share your account credentials with third parties.
- Accept responsibility for all activities conducted under your account.
Chivendi reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to other users.
4Vendor Obligations
As a Vendor on our Platform, you agree to:
- List only lawful products and services that you have the right to sell or provide.
- Provide accurate descriptions, pricing, and availability of your listings.
- Complete booked jobs within agreed timelines and to the agreed standard.
- Verify your phone number upon subscribing to unlock full Platform features.
- Not engage in price manipulation, fake reviews, or deceptive practices.
- Comply with all tax obligations applicable to your earnings under Nigerian law.
- Not list prohibited items including but not limited to: firearms, controlled substances, counterfeit goods, stolen property, or any item illegal under Nigerian law.
5Buyer Obligations
As a Buyer, you agree to:
- Make payments only through the Platform's secure payment system.
- Confirm job completion honestly and promptly to release escrow funds.
- Not initiate chargebacks or payment reversals without first raising a dispute through the Platform.
- Treat Vendors with respect and not engage in harassment or abuse.
- Not attempt to circumvent the Platform by conducting transactions directly with Vendors outside Chivendi.
6Payments, Fees & Escrow
All payments on Chivendi are processed through our payment partner, FunZ. By using our payment services, you also agree to FunZ's terms of service.
- Service Fees: Chivendi charges a service fee on each transaction. The current fee rate is displayed at checkout and is subject to change. Fees are dynamic and set by the Platform administration.
- Escrow: Buyer payments are held in escrow and only released to the Vendor upon confirmed job completion. Chivendi acts solely as an escrow facilitator and is not a financial institution.
- Vendor Contract Review: After a Buyer funds a booking, the Vendor may review the Buyer's contract terms before fulfilment begins. A Vendor may accept the contract and proceed, or reject it with a recorded reason if the requested quality, quantity, specification, timing, or pricing cannot reasonably be met.
- Buyer Response After Vendor Rejection: Where a Vendor rejects a contract, the Buyer may either proceed despite the Vendor's warning or cancel the booking. If the Buyer proceeds, the Vendor will be notified and may review the contract again before deciding whether to fulfil it.
- Subscriptions: Vendors may subscribe to paid plans to unlock enhanced features. Subscription fees are non-refundable once the billing period has commenced.
- Withdrawals: Vendors may withdraw earned funds to their verified Nigerian bank account. Minimum and maximum withdrawal limits apply as published on the Platform.
- Refunds: Refunds are processed at the discretion of Chivendi following dispute resolution or approved booking cancellation flows. Where a Buyer cancels after a Vendor contract rejection, a 1% escrow service fee may be deducted before refund processing.
- Refund Verification Controls: Chivendi may require refund bank details, validate the submitted account name against the Buyer's registered legal name, and place refunds on hold pending supporting proof where the submitted refund details do not reasonably match the Buyer's identity or where fraud risk is suspected.
7Subscription Plans
Chivendi offers tiered subscription plans for Vendors. By subscribing:
- You agree to pay the applicable subscription fee for your chosen plan and billing cycle.
- Phone number verification is required to unlock paid subscription features. Failure to verify will result in features remaining locked until verification is completed.
- Subscriptions auto-renew unless cancelled before the renewal date.
- Downgrading to the Free plan occurs automatically upon subscription expiry or cancellation at the end of the billing period.
- Chivendi reserves the right to modify subscription pricing with 30 days prior notice to subscribers.
8VendScore & Verification
VendScore is a proprietary reputation metric assigned to Vendors. It is influenced by factors including email verification, phone verification, NIN verification, completed bookings, and buyer reviews. Chivendi reserves the right to adjust VendScore algorithms at any time. VendScore is for informational purposes only and does not constitute an endorsement or guarantee of any Vendor's services.
9Intellectual Property
All intellectual property on the Platform — including the Chivendi name, logo, VendForge AI technology, platform design, and all associated software — is owned by Gentility Tech Global Ltd. You may not reproduce, distribute, or create derivative works without written permission.
By uploading content (photos, descriptions, videos) to the Platform, you grant Chivendi a non-exclusive, royalty-free, worldwide licence to use, display, and distribute your content for the purpose of operating and promoting the Platform.
10AI-Generated Content (VendForge)
Chivendi provides AI-powered content generation tools ("VendForge") to help Vendors create marketing content. You are solely responsible for reviewing and ensuring the accuracy of any AI-generated content before publishing. Chivendi does not guarantee the accuracy, completeness, or fitness of AI-generated content. AI-generated content must comply with these Terms and applicable Nigerian law. You must not use VendForge to generate misleading, defamatory, or illegal content.
11Prohibited Activities
The following are strictly prohibited on Chivendi:
- Fraud, impersonation, or misrepresentation of identity or qualifications.
- Money laundering or use of the Platform for illegal financial activities.
- Harassment, intimidation, or abuse of other users or Platform staff.
- Listing or selling prohibited goods or services.
- Circumventing Platform fees by conducting off-platform transactions.
- Creating multiple accounts to manipulate ratings or bypass restrictions.
- Unauthorized scraping, crawling, or data extraction from the Platform.
- Uploading malicious software, viruses, or harmful content.
- Any activity that violates Nigerian law or applicable international law.
12Dispute Resolution
In the event of a dispute between a Buyer and Vendor:
- Either party may raise a dispute through the Platform's dispute resolution system.
- Chivendi will review the dispute and make a determination within a reasonable time.
- Chivendi' decision on disputes is final and binding.
- For disputes involving Chivendi itself, parties agree to first attempt resolution through direct negotiation by contacting info@chivendi.com.
- Any unresolved disputes shall be subject to the exclusive jurisdiction of Nigerian courts, specifically in Enugu State.
13Limitation of Liability
To the maximum extent permitted by Nigerian law, Chivendi and Gentility Tech Global Ltd shall not be liable for: indirect, incidental, or consequential damages arising from Platform use; loss of profits, data, or business opportunities; the conduct, products, or services of third-party users; Platform downtime or technical failures; or any damages exceeding the total fees paid by you to Chivendi in the 3 months preceding the claim. Chivendi is a technology platform and marketplace facilitator — we are not a party to transactions between Buyers and Vendors and do not guarantee the quality, legality, or delivery of any listed services or products.
14Termination
Chivendi reserves the right to suspend or permanently terminate your account without prior notice if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your access to the Platform ceases immediately. Earned funds in your account will be processed in accordance with our withdrawal policy. Sections 9 (Intellectual Property), 12 (Dispute Resolution), and 13 (Limitation of Liability) survive termination.
15Changes to These Terms
Chivendi may update these Terms at any time. We will notify registered users via email or in-app notification at least 14 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
16Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including the Federal Competition and Consumer Protection Act (FCCPA) 2018, the Nigeria Data Protection Regulation (NDPR) 2019, and all other applicable Nigerian legislation. Any disputes shall be subject to the exclusive jurisdiction of the courts of Enugu State, Nigeria.
